Terms of Service

These Terms of Service ("Terms") govern your use of the Prana mobile app, website, and related services (collectively, the "Services") provided by Mind Mapping Labs Inc ("Prana," "we," "us," or "our").

1. Acceptance of Terms

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you may use the Services only with supervision of a parent or legal guardian.

3. Wellness and Safety Notice (Not Medical Advice)

Prana provides wellness and educational content, including breathwork guidance. The Services are not medical care and are not intended to diagnose, treat, cure, or prevent any disease.

Stop immediately if you feel unwell. If you have medical concerns (including pregnancy, cardiovascular or respiratory conditions, dizziness, chest pain, or shortness of breath), consult a qualified healthcare professional.

Do not use the Services while driving, operating machinery, or in any unsafe context.

4. Accounts, Guest Access, and Security

Some features are available without an account. Other features may require sign-in.

You are responsible for safeguarding account credentials and all activity under your account.

We may suspend or terminate access for abuse, fraud, security risks, or violation of these Terms.

5. Subscriptions, Trials, and Billing

At launch, paid features are offered through Apple App Store in-app purchases. Pricing, billing cadence, trial terms, and renewal details are shown in-app at checkout.

Subscriptions renew automatically unless canceled before renewal in your Apple account subscription settings.

6. Refund Policy

For purchases made through Apple App Store, refunds are governed and processed by Apple under Apple policies. We do not control Apple refund decisions.

If direct web billing is offered by Prana in the future, contact hello@mindmappings.co for refund support.

7. Acceptable Use

You agree not to:

• Violate applicable laws.
• Interfere with operation or security of the Services.
• Attempt unauthorized access.
• Reverse engineer or bypass protections except where law permits.
• Use automated means to scrape or harvest data without permission.

8. AI Coach and Generated Content

AI Coach output may be incomplete, inaccurate, or unsuitable for your needs. You are responsible for how you use generated content.

AI output does not replace professional medical, legal, financial, or mental health advice. We may apply usage limits or controls to protect reliability and prevent abuse.

9. Intellectual Property

The Services and their content (software, audio, visuals, text, trademarks, and branding) are owned by Mind Mapping Labs Inc or its licensors and are protected by law.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license for personal, non-commercial use.

10. Third-Party Services

The Services may integrate with third-party services (including Apple billing, authentication, analytics, cloud hosting, and AI providers). Those providers may have their own terms and policies.

11. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

12. Limitation of Liability

To the fullest extent permitted by law, Mind Mapping Labs Inc and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill arising from your use of the Services.

To the fullest extent permitted by law, our total aggregate liability for claims arising out of or relating to the Services will not exceed the greater of (a) the amount you paid to us for the Services in the 12 months before the event giving rise to the claim, or (b) USD $100.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Mind Mapping Labs Inc and its affiliates from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Services or violation of these Terms.

14. Dispute Resolution; Arbitration; Class Action Waiver

Before filing a claim, you and Prana agree to try to resolve disputes informally. Send a notice to hello@mindmappings.co with "Legal Dispute Notice" in the subject line. If not resolved within 30 days, either party may proceed as follows.

Except for small-claims matters and claims for injunctive relief regarding intellectual property or unauthorized access, disputes will be resolved by binding individual arbitration, not in court, to the fullest extent permitted by law.

Arbitration will be administered by the American Arbitration Association (AAA) under applicable consumer rules, and may be conducted remotely unless otherwise required by law.

You and Prana each waive any right to a jury trial and any right to participate in a class action, class arbitration, or representative proceeding.

You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing hello@mindmappings.co with "Arbitration Opt-Out" in the subject line and your account email in the message body.

If this Section 14 is found unenforceable for a particular dispute, then that dispute may be brought in the courts identified in Section 15, subject to non-waivable consumer-law protections.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except where non-waivable local consumer protection law applies.

For disputes that are not arbitrated, you and Prana consent to the exclusive jurisdiction and venue of the state or federal courts located in Delaware, except where prohibited by applicable law.

16. Changes, Suspension, and Termination

We may modify, suspend, or discontinue all or part of the Services at any time. We may also update these Terms by posting a revised version with a new effective date.

Continued use after updates means you accept the updated Terms.
